Adirector

General Terms and Conditions

Section 1 Scope

(1) These terms apply to all contracts between K&O Solutions Limited, Unit 7, 8/F., Tower B, 83 King Lam Street, Lai Chi Kok, Hong Kong SAR, trading under the brand “Adirector” (the “Provider”), and its clients.

(2) The offer is directed exclusively at entrepreneurs within the meaning of section 14 of the German Civil Code (BGB). No contracts are concluded with consumers.

(3) Deviating terms of the client apply only if the Provider agrees to them expressly in text form.

Section 2 Conclusion of contract

(1) The presentation of services on the website does not constitute a binding offer.

(2) The contract is concluded when the Provider confirms an order in text form (for example by email) following the initial call, or issues an invoice for the commissioned service.

Section 3 Services

(1) The Provider produces video advertisements (the “Ads”) for the client. Depending on the package this includes concept work, script, production using AI tools, editing and variants (for example different hooks and CTAs).

(2) Scope and price follow from the chosen package as stated on the website or in an individual offer, in particular:

– Trial week: 3 concepts with 15 ads in total, once per brand

– Growth: 2 new concepts per week with 10 variants each (20 ads per week)

– Scale: 5 new concepts per week with 10 variants each (50 ads per week), any number of brands

– 5-pack without subscription: 5 concepts with 15 ads in total

(3) The Provider owes the agreed production of the Ads, not any particular advertising success (for example revenue, ROAS or reach).

(4) Unused concepts under a flat rate expire at the end of the respective billing month and are neither carried over nor refunded.

(5) Project files and raw files are not part of the service unless agreed otherwise.

Section 4 Client's duty to cooperate

(1) The client provides the information and materials required for production in good time, in particular product information, brand guidelines and target audience.

(2) The client is responsible for the accuracy and permissibility of all product claims that it specifies or approves. Before publication the client checks the Ads for legal compliance and for compliance with the policies of the respective advertising platform.

(3) Delays caused by missing cooperation extend agreed delivery times accordingly.

Section 5 Revisions and acceptance

(1) Up to 2 rounds of revisions are included per ad. Further changes are agreed separately.

(2) An ad is deemed accepted if the client does not communicate substantiated change requests in text form within 5 working days of delivery, or publishes the ad.

Section 6 Prices and payment

(1) All prices are net. Taxes are handled in accordance with statutory provisions (for example the reverse-charge procedure).

(2) Trial week: 50% of the fee on order, 50% on delivery.

(3) Flat rates (Growth, Scale) are invoiced monthly in advance. The 5-pack is invoiced on order unless agreed otherwise.

(4) Invoices are payable within 7 days without deduction. In the event of default the Provider may suspend ongoing services until payment is received.

Section 7 Term, pause and termination

(1) Flat rates run for one month at a time and renew automatically by a further month.

(2) The client may pause or terminate a flat rate at any time with effect from the end of the current billing month. Notice in text form to [email protected] is sufficient.

(3) The right to extraordinary termination for good cause remains unaffected.

Section 8 Rights of use and references

(1) Upon payment in full the client receives, to the extent that protective rights exist, an exclusive right to use the delivered final Ads for its own advertising purposes, unlimited in time, territory and content.

(2) The Provider may show the Ads and the client's name as a reference on its own website and channels unless agreed otherwise in text form.

Section 9 Materials and third-party rights

(1) The client warrants that the materials it provides (for example logos, product images, texts) are free of third-party rights or that it is entitled to use them. To that extent the client indemnifies the Provider against third-party claims.

(2) The Provider does not use any third-party trademarks, characters or persons known to it without authorisation.

Section 10 Liability

(1) The Provider is liable without limitation in cases of intent and gross negligence, and for injury to life, body or health.

(2) In cases of slight negligence the Provider is liable only for breach of material contractual obligations, limited to the foreseeable damage typical of this type of contract and at most to the fee of the last 3 months.

(3) The Provider is not liable for decisions of advertising platforms (for example rejection of ads or suspension of ad accounts), nor for the commercial success of the Ads.

Section 11 Confidentiality

Both parties treat confidential information of the other party as confidential, including beyond the end of the contract.

Section 12 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) To the extent permitted by law, the place of jurisdiction is the registered office of the Provider.

(3) Should any provision be invalid, the validity of the remaining provisions remains unaffected.
